Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Sabil Health platform and services provided by Sabil Health SAS (“Sabil Health,” “we,” “us”). By accessing or using our platform, you agree to be bound by these Terms.

1. Service Description

Sabil Health operates an intelligent matchmaking platform that connects Gulf-based capital allocators with European healthcare startups and life sciences funds. Our services include qualification screening, proprietary scoring, curated introductions, and facilitated due-diligence processes.

Sabil Health is a matchmaking platform, not an investment advisory service. We do not provide investment advice, financial recommendations, or solicitations to buy or sell securities. All investment decisions are made solely by the parties involved, and you should consult your own financial, legal, and tax advisors before making any investment.

2. No Investment Recommendations

Sabil Health does not make investment recommendations. Our scoring methodology and qualification process are designed to facilitate relevant introductions, not to indicate the merits or suitability of any particular investment opportunity.

Any information provided on the platform, including company profiles, scores, sector analyses, or market insights, is for informational purposes only and should not be construed as investment advice or a recommendation to invest.

3. Access and Qualification

Access to the Sabil Health platform requires successful completion of our qualification process. We reserve the right to accept or decline any application at our sole discretion. Qualification criteria may include but are not limited to:

• For startups: stage of development, sector alignment, fundraising status, and team composition
• For allocators: institutional profile, investment mandate, sector interest, and capital deployment capacity

Qualified users receive access to the platform dashboard, curated introductions, and additional services as determined by their profile.

4. Non-Circumvention

All introductions facilitated through the Sabil Health platform are covered by a 24-month non-circumvention agreement (NCA) from the date of introduction. This means:

• You may not pursue a direct relationship with any party introduced through Sabil Health outside of the platform during the NCA period
• Any transaction, investment, or commercial arrangement arising from a Sabil Health introduction is subject to our fee structure, regardless of when the transaction closes
• The NCA applies to all affiliates, subsidiaries, and related entities of the introduced parties

Violation of the non-circumvention provision may result in immediate termination of platform access and legal action for damages.

5. Limitation of Liability

Sabil Health facilitates introductions between parties but does not guarantee the outcome of any transaction, investment, or business relationship. Specifically:

• We do not guarantee that any introduction will result in a transaction or investment
• We are not responsible for the accuracy of information provided by users on the platform
• We are not liable for any losses arising from investment decisions made based on introductions facilitated through the platform
• Our total liability to you for any claim shall not exceed the fees paid by you to Sabil Health in the 12 months preceding the claim

The platform and services are provided “as is” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Intellectual Property

The Sabil Health scoring methodology, qualification algorithms, matchmaking technology, and all related intellectual property are proprietary to Sabil Health SAS. You may not:

• Reverse-engineer, decompile, or attempt to extract the scoring methodology or algorithms
• Reproduce, distribute, or create derivative works based on our proprietary content or technology
• Use Sabil Health branding, trademarks, or proprietary materials without prior written consent

Users retain ownership of all content and documents they upload to the platform. By uploading content, you grant Sabil Health a limited license to use such content solely for the purpose of providing our matchmaking services.

7. Termination

Either party may terminate the relationship at any time by providing written notice. Sabil Health reserves the right to suspend or terminate your access to the platform immediately if:

• You violate these Terms, including the non-circumvention provision
• You provide false or misleading information during the qualification process
• Your conduct poses a risk to other users or the integrity of the platform
• Required by law or regulatory authority

Upon termination, your access to the platform will be revoked. Provisions that by their nature should survive termination (including non-circumvention, limitation of liability, and intellectual property) will continue in effect.

8. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the French Republic, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Paris, France.
